Alliance Agreement

This Alliance Agreement (the "Agreement") is between Limitless MEA FZ-LLC, the operator of Reloader.gg ("Reloader"), and the person who creates or operates an Alliance on Reloader.gg (the "Alliance Owner"). By creating or operating an Alliance, the Alliance Owner agrees to this Agreement in addition to the Terms and Conditions.

1. Parties and Structure

1.1 WG Project Ltd, a company registered in Anjouan, Union of Comoros, under registration number 15853, holds Anjouan gaming licence ALSI-202506004-FI1.

1.2 Reloader.gg is operated by Reloader under that licence. Reloader is the sole operator of Reloader.gg towards players and towards the regulator.

1.3 An Alliance is a community brand on Reloader.gg, with its own name, branding and community spaces. The Alliance Owner owns its own Alliance brand. In relation to the Alliance and Reloader.gg, the Alliance Owner acts only as an independent marketing and community partner of Reloader. The Alliance Owner is not an operator of Reloader.gg and does not hold, use or act under any gaming licence.

2. Alliance Tiers

Alliances progress through tiers based on activity. Tier affects the revenue-share percentage the Alliance Owner earns on Net Gaming Revenue ("NGR") attributable to the Alliance. Tier thresholds and percentages are published on Reloader.gg and may be adjusted from time to time with reasonable notice.

3. Marketing Conduct

3.1 Compliance with this section is a condition of the Alliance Owner's entitlement to revenue share under section 5. It is not an obligation to operate the Alliance, Reloader.gg or any gaming service. When promoting the Alliance or Reloader.gg, the Alliance Owner will:

  • Not promote the Alliance or Reloader.gg to minors, or to persons in any jurisdiction in which Reloader.gg is not offered;
  • Use only marketing claims that are truthful and substantiated;
  • Not induce, encourage or facilitate fraud, multi-accounting, bot-assisted play, bonus abuse, or the circumvention of sanctions, jurisdictional restrictions or KYC checks;
  • Use Reloader's brand assets only as permitted by Reloader's brand guidelines.

3.2 If the Alliance Owner breaches section 3.1, the Alliance Owner forfeits the revenue share for each accounting period in which the breach occurred, and Reloader may terminate this Agreement under section 13. Revenue share for accounting periods not affected by the breach is not forfeited.

4. Reloader's Responsibilities

4.1 Reloader is solely responsible for the operation of Reloader.gg, including: player accounts; player wallets and player funds; deposits and withdrawals; KYC and AML checks; responsible gaming; bonuses; game outcomes and game integrity; player support; chat moderation; and regulatory compliance (together, the "Operator Responsibilities").

4.2 The Alliance Owner has no responsibility for any of the Operator Responsibilities.

4.3 Reloader will also:

  • Provide the Alliance with the features and services described in Reloader's published documentation;
  • Calculate and pay the applicable revenue share on NGR attributable to the Alliance, in accordance with section 5;
  • Provide reasonable operational support to the Alliance Owner.

5. Revenue Share

Revenue share is calculated on NGR attributable to the Alliance during each accounting period. The applicable percentage is determined by the Alliance's tier at the end of the period. Payment cadence, minimum payout thresholds, and settlement currency are as published on Reloader.gg at the time of payment.

Revenue share can never be negative:

  • If NGR attributable to the Alliance is zero or negative in an accounting period, the revenue share for that period is zero.
  • Negative NGR in one accounting period does not carry forward to, and does not reduce the revenue share of, any subsequent accounting period.
  • The Alliance Owner is never liable to pay Reloader any amount arising from negative NGR.

Reloader may offset amounts owed to the Alliance Owner only against obligations of the Alliance Owner to Reloader arising from a breach of this Agreement, chargebacks or fraud attributable to the Alliance, or amounts previously overpaid to the Alliance Owner. No offset applies in respect of negative NGR.

6. Relationship of the Parties

6.1 Reloader and the Alliance Owner are independent parties. Nothing in this Agreement creates an agency, partnership or joint venture between them.

6.2 The Alliance Owner has no authority to bind Reloader or to make any commitment on Reloader's behalf.

6.3 The Alliance Owner holds no player funds and makes no gaming, bonus or payment decisions. The Alliance Owner has no operational or regulatory obligations in relation to Reloader.gg.

6.4 Players contract with Reloader and the licence holder as set out in the Terms and Conditions. No contract for gaming services is formed between a player and the Alliance Owner.

7. Alliance Tools

7.1 The Alliance admin panel gives the Alliance Owner promotional and community tools, including bonuses and pots, direct messages, custom content and chat tools. These tools are provided for promotional and community purposes only.

7.2 Everything initiated through these tools is executed by Reloader, under Reloader's own controls. A bonus or pot set up through the Alliance admin panel is a Reloader bonus, granted and governed by Reloader.

7.3 The Alliance Owner may moderate its own Alliance spaces using the tools provided, but has no duty to do so. Reloader retains final authority over moderation on Reloader.gg, including in Alliance spaces.

8. Brand and Intellectual Property

The Alliance Owner retains all rights in their own brand assets. The Alliance Owner grants Reloader a worldwide, royalty-free, non-exclusive licence to display Alliance assets on Reloader.gg and in related communications solely for the purpose of operating and promoting Reloader.gg. Reloader retains all rights in its own brand assets and grants the Alliance Owner a limited, revocable licence to use them in accordance with the brand guidelines.

9. Player Data

9.1 Reloader is the data controller for the personal data of players, as described in the Privacy Policy.

9.2 The Alliance Owner may use player data that it sees in the Alliance admin panel only for the Alliance's community and marketing purposes, and only in accordance with the Privacy Policy.

10. Confidentiality

Each party agrees to keep confidential information disclosed by the other party confidential and to use it only for purposes related to this Agreement. This obligation survives termination.

11. Limitation of Liability

To the fullest extent permitted by applicable law, neither party shall be liable to the other for indirect, consequential, incidental, or punitive damages. Each party's aggregate liability to the other under this Agreement shall not exceed the total revenue share paid to the Alliance Owner in the six months preceding the event giving rise to the claim. The limits in this section do not apply to section 12.

12. Indemnity

12.1 Reloader will indemnify the Alliance Owner against any claim brought by a player, a regulator or a payment provider, and against the resulting losses, costs and reasonable legal fees, to the extent the claim arises from any of the Operator Responsibilities in section 4.1.

12.2 The Alliance Owner will indemnify Reloader against any such claim only to the extent it arises from the Alliance Owner's own breach of section 3 (Marketing Conduct). The Alliance Owner gives no other indemnity under this Agreement.

12.3 A party seeking to be indemnified will notify the other party promptly of the claim and give reasonable cooperation in its defence.

13. Termination

Either party may terminate this Agreement on written notice to the other party. Reloader may terminate immediately for material breach, including any breach of section 3.

On termination:

  • The Alliance will be de-listed from Reloader.gg;
  • Any revenue share earned and not yet paid will be settled in accordance with section 5, subject to section 3.2 and to the offsets permitted by section 5;
  • Obligations that by their nature should survive (including sections 3.2, 9, 10, 11 and 12) will survive.

14. Dispute Resolution

The parties agree to first attempt to resolve disputes informally by contacting info@reloader.gg. If informal resolution fails, disputes will be resolved in accordance with section 15.

15. Governing Law and Jurisdiction

This Agreement is governed by the laws of United Arab Emirates (UAE). The parties submit to the exclusive jurisdiction of the competent courts of United Arab Emirates (UAE), without prejudice to any mandatory rights.

16. Amendments

Reloader may amend this Agreement on 30 days' notice to the Alliance Owner. Continued operation of the Alliance after the effective date of an amendment constitutes acceptance of the amended Agreement.
